THE ASSOCIATION OF UKRAINIANS IN GREAT BRITAIN LIMITED
NOTICE OF ANNUAL GENERAL MEETING

Notice is hereby given that the Annual General Meeting (“AGM”) of the Association of Ukrainians in Great Britain Limited (the "Company") will be held on 17 June 2017 at 11.00 am in the main hall of AUGB Doncaster Branch, 48 Beckett Rd, Wheatley, Doncaster DN2 4AD, to consider and, if thought fit, to pass resolutions 1-5 below as Ordinary Resolutions and resolution 6 as a Special Resolution. 

ORDINARY BUSINESS 

1. To receive the reports on behalf of the Board of Directors, Internal Audit Committee, Mediation Committee and the auditor’s report on the accounts for the year ended 31 December 2016. 

2. To discharge the outgoing President, Board of Directors, Internal Audit Committee, Mediation Committee and their deputies and to re-elect or appoint a President, members of the General Council, Tribunal, Finance Control Committee and their deputies. (See attachment 1 for the proposed nominations).
3. To re-appoint Goldwins Chartered Accountants Limited as auditor to the Company. 
4. To determine the auditor’s remuneration. 
To resolve that the auditor’s remuneration for 2018 should be no more than £12,500.
5. To determine the membership subscription fee for 2018.
To resolve that the membership subscription fee for 2018 should be as follows:
o Ordinary members: £18
o Full Members who are members of OUZh and concessionary: £9
o Full time students: £1

SPECIAL RESOLUTION

That the existing Articles of association of the Company be amended as follows:

6.1. The definition of Qualifying Individual in article 1.1 be replaced in its entirety with the following:

“an individual who: 
(a) is at least eighteen years of age;
b) has the right to reside in the United Kingdom for a period of over 6 months; 
c) wishes to promote the objects of the Association as set out in article 2; and
d) is a:
(i) Ukrainian national (and such term includes, without limitation, any person of Ukrainian ethnic origin regardless as to whether or not that person or that person’s ancestors were born within the borders of the state of Ukraine), or
(ii) child or remoter issue of a Ukrainian national, or 
(iii) spouse or civil partner of:
• a Ukrainian national; or 
• a child or remoter issue of Ukrainian national;
and the directors shall from time to time be entitled to issue guidance to clarify the meaning of any term set out above;”

6.2. A new article 1.3.3 be included: “1.3.3. Any words following the terms including, include, in particular, for example or any similar expression shall be construed as illustrative and shall not limit the sense of the words, description, definition, phrase or term preceding those terms.”

6.3
A new article 2.6 be included: “2.6 support and promote the development of freedom and democracy, human and civic rights in Ukraine and support Ukraine’s territorial integrity and continued existence as an independent state.”

6.4
The cross reference in article 25.1.3 shall be replaced with 26.3.

6.5
The word “five” in article 26.4 shall be replaced with the word “four”.

6.6
There shall be added to article 50, the following words, “A copy of the documents to be approved by the Members in the annual general meeting pursuant to this article 50 shall also be published in the Journal (to the extent the Journal is available) when the relevant annual general meeting agenda is published in accordance with article 12.2.”
